CMA Investigates Nationwide £2.9m Acquisition Of Virgin Money

The UK Competition and Markets Authority (CMA) has initiated an investigation into Nationwide’s ambitious £2.9 billion acquisition of rival Virgin Money. This inquiry, announced on Friday morning, marks the beginning of a detailed assessment to determine the merger’s impact on competition within the UK banking sector.

The CMA has called for input from interested parties, with a deadline for responses set for June 14. This feedback will play a crucial role in the regulator’s initial evaluation. The CMA will decide by July 26 whether the merger warrants a more comprehensive Phase 1 investigation.

Nationwide and Virgin Money reached a consensus on the merger in March. The deal involves a 220p-per-share offer from Nationwide, which includes a planned 2p-per-share dividend payout. This agreement marks the largest UK banking merger since the financial crisis, underscoring its significance in the industry.

The merger received overwhelming support from Virgin Money shareholders, with 89% voting in favor of the transaction last week. This endorsement paves the way for the deal’s completion, expected in the final quarter of 2024.

Upon finalization, Virgin Money CEO David Duffy will step down, while Nationwide CEO Debbie Crosbie will lead the expanded organization. The merger will create the fifth-largest retail banking entity in the UK, combining the two lenders’ resources to serve approximately 24.5 million

Although the Virgin Money brand will eventually be phased out, Nationwide plans to maintain both brands initially, with a complete rebranding anticipated within six years. This strategic decision aims to ensure a smooth transition for customers and employees.
